Terms of Use and Intellectual Property Rights

This document sets out the terms of use of the “BunyanIQ Business Solutions” website, the ownership of the software, modules, database designs and implementation methodologies we develop, and the limits of the license granted to our clients.

Last updated: 31 August 2026 Saudi Copyright Law Egyptian Intellectual Property Law No. 82 of 2002
The summary in three lines
Everything we develop — code, modules, database structures, migration scripts, reports and methodology — remains our property, and the client receives a license to use it within their organization only. It may not be copied, resold, handed to a third party, or used to train artificial intelligence models. The data the client enters remains the client's own property.

1. Acceptance of the terms and their scope

By using this website or any of our services, you acknowledge that you have read, understood and agreed to be bound by these terms. If you are acting on behalf of an organization, you represent that you are authorized to do so and that the organization is bound by these terms. If you do not agree to any of its provisions, please do not use the website or the services.

These terms apply to the website and to all deliverables and services we provide, unless a written contract signed by both parties expressly provides otherwise, in which case the contract prevails only to the extent of the conflict and the remaining provisions of this document remain in force.

2. Definitions

  • “Company”: BunyanIQ Business Solutions (بُنيانك لحلول الأعمال).
  • “Deliverables”: everything the Company produces, develops or prepares in the course of providing its services, including without limitation: source code, custom Odoo modules, database structures and designs and their relational schemas, data migration and cleansing scripts, report and invoice templates, dashboards, setup and configuration files, analysis documents and requirement specifications, user and training guides, and the methodologies and frameworks used in implementation.
  • “Client Data”: the operational data the client enters, or that is migrated on the client's behalf, into the system.
  • “License”: the right of use granted to the client under Section 5.

3. Ownership of the website and its content

All elements of this website — texts and marketing copy, designs, graphics, icons, illustrations, layouts, front-end code, and the arrangement and presentation of content — are owned by or licensed to the Company and are protected under the copyright and intellectual property laws in force in the Kingdom of Saudi Arabia and the Arab Republic of Egypt and the relevant international conventions.

This content may not be copied, republished, translated, excerpted or paraphrased for commercial purposes, or used on websites, presentations or proposals for other parties, without the Company's prior written permission. Limited quotation for purposes of criticism or citation is excepted, provided the source is clearly credited and a link to the original page is included.

4. Ownership of works and deliverables

The essential clause
The Company retains all rights, title and interest in all Deliverables defined above, including those developed specifically for a particular client, unless a transfer of ownership is expressly agreed in writing for a separate, specified consideration. Payment for the service grants the client a license to use and does not constitute a transfer of intellectual property.

This ownership specifically includes — given its importance to the nature of our work — the following:

  • The source code of Odoo modules developed by the Company, their software architecture, model and field names, and business logic.
  • Database design: tables, relationships, indexes, constraints, schemas and validation rules, and any information architecture the Company has created to organize industry processes.
  • Migration, cleansing and transformation scripts and field mapping tables.
  • Report, printout and dashboard templates and the calculation formulas used in them.
  • The methodology, analysis frameworks, checklists, requirement templates and design documents.
  • Derivative works, enhancements and fixes made to any of the above, even if they arise in the course of a client project or are based on the client's feedback.

The client acknowledges that what the Company provides is based on knowledge, expertise and a library of prior work owned by the Company, and that using this knowledge in other projects is an inherent right of the Company and does not constitute a breach of confidentiality as long as it does not disclose the client's data or trade secrets.

5. License granted to the client

Upon full payment of all amounts due, the Company grants the client a non-exclusive, non-assignable, non-sublicensable, non-transferable license, revocable upon breach, to use the Deliverables within the following limits:

  • Internal use within the client's organization and for the agreed operational purposes only.
  • The number of users, environments, branches and entities specified in the contract or quotation; any expansion requires an agreement and additional consideration.
  • The geographic scope and term stated in the contract; where not stated, the term is tied to the continuation of the contractual relationship and payment of amounts due.

The license does not include any right to obtain or modify the source code unless stated in writing. If delivery of the source code is agreed, it remains the property of the Company and is delivered under an internal-use license only, unless an express transfer of ownership is agreed for a separate financial consideration.

6. Restrictions and obligations

The client and any party granted access to the Deliverables undertake not to do any of the following without the Company's prior written permission:

  • Copy the Deliverables or any part of them, or reproduce them outside the scope of the license.
  • Sell, rent, lend, distribute or sublicense the Deliverables, or provide them as a service to others.
  • Reverse engineer, decompile, or attempt to extract the source code, database structure or business logic.
  • Transfer the Deliverables or documents to another implementation partner or competing developer, or use them as a basis for building an alternative system.
  • Use the Deliverables, code or documents to train or fine-tune artificial intelligence models, or input them into generative systems, whether on the client's behalf or for others.
  • Remove, obscure or alter proprietary notices, marks or comments indicating the source of the work.
  • Disclose the Company's prices, proposals, methodology or analysis documents to a competing party.

Any breach of this section constitutes a material breach entitling the Company to terminate the license immediately and suspend service and support, without prejudice to its right to claim compensation for direct and indirect damages and lost profits, and to take the necessary legal action.

7. Open-source components and third-party rights

Our solutions are built on the Odoo platform, a product owned by Odoo S.A., and the Company claims no ownership of the platform itself. The Odoo Community edition is subject to the LGPL-3.0 license, while the Enterprise edition is subject to Odoo's own license agreement, and the client undertakes to acquire the necessary licenses directly from Odoo or through us as a certified partner.

The Company's ownership is limited to what it has developed on top of the platform and does not extend to the platform or to other open-source libraries, which remain subject to their original licenses. Where the license of an open-source component imposes different terms, those terms prevail within the scope of that component alone.

8. Ownership of client data

The client's rights are preserved
The client's operational data — its customers, suppliers, employees, and financial and inventory transactions — remains the exclusive property of the client. The Company claims no right to it, does not use it for any purpose other than providing the contracted service, does not share it with any third party, and does not use it to train artificial intelligence models. Upon termination of the contract, the data is delivered to the client in a readable format.

9. Confidentiality

Each party undertakes to keep confidential the information it obtains from the other party in connection with the contract, and not to disclose it or use it for any purpose other than performance, for the duration of the contract and for five years after its termination. This obligation does not cover information that is publicly available through no breach, or that a law or court ruling requires to be disclosed, after notifying the other party where possible.

10. Prohibited uses of the website

  • Attempting unauthorized access to any part of the website, its servers or databases.
  • Automated scraping of content or using crawlers or data extraction tools without written permission.
  • Republishing website content or compiling it into databases or other products.
  • Transmitting malware, attempting to disrupt the service, or penetration testing without authorization.
  • Impersonating the Company or any of its personnel, or using its visual identity in a way that implies a non-existent relationship.

Some of these acts may constitute offenses punishable under the applicable anti-cybercrime laws, and the Company reserves the right to take all necessary legal and judicial action, including retaining access logs and using them as evidence.

11. Trademarks and visual identity

The names “بُنيانك” and “BunyanIQ”, the logo, the visual identity and the names of the industry solutions are marks belonging to the Company. They, or anything confusingly similar to them, may not be used in any marketing material, presentation or domain name without written permission. Names and logos of other parties appearing on the website belong to their respective owners and are shown solely to indicate technical integration, without any claim of sponsorship or affiliation.

Some “Try Odoo for free” links on the website are referral links under Odoo's official referral program, and the Company may receive a commission from Odoo if a visitor subscribes through them. This does not change the subscription price for the visitor and does not affect our recommendations.

12. Disclaimer

Website content is provided for general information purposes and does not constitute binding professional advice or a commitment to a specific result. The Company exercises reasonable care to keep information accurate and current, without guaranteeing that it is error-free or that the website will be available without interruption. Services are provided on the basis of the professional care customary in this field, and the Company does not guarantee specific business results, as these depend on factors beyond its control such as the quality of the client's data and its team's commitment to operating the system.

13. Limitation of liability

In all cases, except in cases of fraud or gross negligence, the Company's total liability to the client shall not exceed the amounts actually paid to it for the service that is the subject of the claim during the twelve months preceding the event giving rise to the damage. The Company shall not be liable for indirect or consequential damages, loss of profit, or data loss resulting from the client's failure to follow backup policies or from a third party's interference with the system without the Company's knowledge.

14. Indemnification

The client undertakes to indemnify and hold the Company harmless from any claims, damages or costs — including legal fees — arising from its breach of these terms, from its use of the Deliverables outside the scope of the license, or from content or data it supplied to the Company that infringes the rights of others or the law.

15. Termination and its effect

The Company may suspend or terminate the license immediately upon a material breach of these terms or late payment as provided in the contract. Upon termination, the client's right to use the Deliverables ceases, and the client undertakes to destroy any copies in its possession except those it is legally required to retain, while the provisions on ownership, confidentiality, limitation of liability and governing law survive termination.

16. Governing law and dispute resolution

These terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, and its competent courts have jurisdiction over any dispute. For transactions concluded within the Arab Republic of Egypt, the relevant Egyptian laws apply to the extent they do not conflict with the foregoing. The parties shall first seek to settle any dispute amicably within thirty days of written notice before resorting to the courts.

17. Reporting an intellectual property infringement

If you see content on this website that infringes your rights, or you learn of a party using our work without a license, write to us at info@bunyaniq.com stating the right claimed, a description of the content and its location, and your contact details, and we will handle the report within a reasonable time.

18. General provisions

  • No waiver: the Company's forbearance in enforcing a right does not constitute a waiver of that right or any other right.
  • Severability: the invalidity of any provision does not affect the validity of the remaining provisions.
  • Entire agreement: this document, together with the privacy policy and the signed contract, constitutes the entire agreement between the parties on its subject matter.
  • Amendment: the Company may update these terms, and the update will be published on this page with the last-updated date revised.
